Executive Committee.

The operational leadership of INC-USA. Under Article X of the Constitution, the Executive Committee is the seven-officer body that carries day-to-day work between Board meetings.

Article X — The Executive Committee

Seven officers. Two-year terms.

Under Article X, the Executive Committee is the operational leadership of INC-USA. Exco officers serve two-year terms with a maximum of two consecutive terms in the same office. The Exco reports to the Board of Directors and executes the programs, budgets, and policies the Board adopts.

Article 10.2 — Officers

Seven positions. Defined duties.

Every officer has a written duty description drawn directly from the Constitution. Duties are not tradition — they are bylaw.

Article 10.4.1

President

Chief Executive Officer. Presides over Board meetings, represents INC-USA externally, signs binding documents, and supervises the Executive Committee. Casts a tie-breaking vote only when a tie occurs among the Directors.

Article 10.4.2

Vice President

Assists the President in all duties and acts in the President's place during absence, incapacity, or vacancy. Chairs the Strategy and Programs review. Often holds one standing committee portfolio.

Secretary

Chief Governance and Records Officer. Issues all meeting notices, keeps minutes of Board and Convention proceedings, maintains the corporate records, and certifies official resolutions.

Assistant Secretary

Supports the Secretary. Keeps committee minutes, manages the document repository, tracks action items between meetings, and acts as Secretary when that office is vacant.

Treasurer

Chief Financial Officer. Oversees all receipts and disbursements, maintains financial controls, files the annual IRS Form 990, delivers quarterly reports to the Board, and coordinates the annual review.

Financial Secretary

Collects Regional dues and member contributions, issues receipts, tracks outstanding balances, and reconciles with the Treasurer each quarter. Independent from the Treasurer to preserve checks.

Publicity / Communications Secretary

Owns all official INC-USA communications — website, social channels, press releases, and Convention publicity. Approves public-facing statements on behalf of the Executive Committee.

Term Limits & Separation

Rules that protect the institution.

Two-year terms

Each Exco officer serves a two-year term aligned to the biennial election cycle and the National Convention schedule.

Max two consecutive

No officer may serve more than two consecutive terms in the same office. A one-term break is required before returning to that specific office.

No dual voting power

A Director (Regional President) may not simultaneously hold national Exco office. Separation of oversight and operations is preserved by design.
