Board of Directors.

The voting body of the corporation. Under Article 2.3, the Regional Presidents of INC-USA's recognized Regions are the Directors — one delegate per Region, elected by their members.

Article 2.3 — Who the Directors Are

Regional Presidents, serving as Directors.

Under Article 2.3, the Regional Presidents of our recognized Regions are the voting Directors of INC-USA. They represent their Regions at the Board table, approve budgets and programs, and exercise oversight on reserved matters. For District of Columbia nonprofit law purposes, these Regional Presidents constitute the voting directors of the corporation.

Quorum & Voting

  • Quorum: simple majority of Directors currently in office (Article 8.5).
  • Ordinary motions: majority of Directors present and voting.
  • Supermajority (removal, amendments, waivers): two-thirds of all Directors in office.
  • Meetings: minimum quarterly, written notice required, no secret sessions.

Article 2.4 — Reserved Powers

What only the Directors can do.

These powers are reserved to the Board of Directors and cannot be delegated to the Executive Committee or any committee.

Budgets and Spending

Approves the annual budget and any single expenditure or commitment above the threshold set in the bylaws.

Officer Appointments

Confirms the appointment of the Chief Executive, committee chairs, and the Secretariat staff.

Policy Adoption

Adopts and amends INC-USA policies — including conflict-of-interest, whistleblower, and financial controls.

Region Recognition

Recognizes new Regions, suspends noncompliant Regions, and confirms Regional Presidents as voting Directors.

Major Partnerships

Approves Memoranda of Understanding, program affiliations, and strategic partnerships above threshold.

Removal and Discipline

Removes officers, Directors, or Patrons for cause — requires a two-thirds vote of Directors in office.

Article 9.3 — No Dual Voting Power

A sitting Director (Regional President) may not simultaneously hold a national Executive Committee office. Either the Region elects a new President, or the Director resigns from national Exco before assuming Board voting authority. This preserves the separation between oversight and operations.

The eight Regions are where INC-USA actually lives — local meetings, local programs, and local leadership. Each Region sends one credentialed delegate to the Board.
